Shelley is Senior Counsel in the Corporate Group. She concentrates on representing middle-market businesses, often acting as outside general counsel to privately held companies. She represents clients in all aspects of business planning, including sales and supply chain matters, business succession planning, financing, capital structures, mergers and acquisitions, and exit strategies. She advises boards on corporate matters, including fiduciary duties and strategic opportunities.
She also prepares and negotiates commercial transaction agreements, trademark and software licensing agreements, joint venture agreements, venture capital agreements, and franchising and distributorship agreements. Shelley has successfully implemented a wide range of tax-advantaged capital structures, shareholder and family business structures, and private equity structures to enhance client growth and provide exit strategies.
Prior to joining the firm, Shelley was an attorney with Horwood Marcus & Berk Chartered. She earned her J.D. from Washington University School of Law, her M.A. from Washington University in Islamic and Near Eastern Studies, and her B.A. from Washington University.
